Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the SF Sourcing App (the "App") or our website at sfinternationaltrade.com (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is operated by SF International Trade Sdn. Bhd. (Registration No. 202201036884), a private limited company registered in Malaysia with its registered office at:

(referred to as "SF", "we", "us", or "our").

2. Description of Service

The Service provides a business-to-business (B2B) platform for sourcing products from China for delivery to Malaysia, including:

• Submitting sourcing requests
• Receiving quotations from SF
• Managing orders, payments, and shipping
• Communicating with our team
• Generating invoices and order documentation

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and authorized to enter into binding contracts. The Service is intended for business use only.

3.2 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and up-to-date information
• Notifying us immediately of any unauthorized access

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Submit requests for restricted, prohibited, or hazardous goods
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the App
• Resell, sublicense, or commercially exploit Service content
• Impersonate any person or entity
• Submit false or misleading product information

5. Sourcing Requests and Quotations

5.1 Submission

You may submit sourcing requests through the App. Submission does not guarantee fulfillment.

5.2 Quotations

Quotations issued by SF are subject to:

• Validity period stated in the quotation
• Acceptance by you within the validity period
• Stock availability from suppliers
• Final inspection and verification

5.3 Pricing

• Unit prices are quoted in CNY (Chinese Yuan) by default
• Service fee: 5% of product cost
• Inland transport (Malaysia delivery) is quoted in MYR
• All prices exclude SST/GST unless explicitly stated
• Conversion to MYR uses prevailing exchange rates at quotation date

5.4 Acceptance

By approving a quotation, you enter into a binding agreement with SF to procure the goods at the agreed terms.

6. Payment

6.1 Payment Methods

Payments must be made via the bank account specified in the invoice:

• Full payment is required before order processing unless otherwise agreed
• Payment proof must be uploaded through the App
• Late payments may delay delivery and incur additional charges

6.3 Currency

Payments accepted in MYR. Foreign currency payments may incur conversion fees borne by you.

7. Delivery and Shipping

• Estimated delivery times are indicative, not guaranteed
• We are not liable for delays caused by customs, weather, or third-party carriers
• Risk of loss transfers to you upon delivery to specified address
• Tracking information is provided when available

8. Cancellations and Refunds

• Cancellations after quotation approval are subject to supplier policies
• Goods already procured cannot be cancelled
• Refunds, if applicable, are processed within 14 business days
• Disputes must be raised within 7 days of delivery

9. Intellectual Property

• The Service, including all content, design, and functionality, is the property of SF International Trade Sdn. Bhd.
• You retain ownership of content you upload (product images, documents)
• You grant SF a limited license to use uploaded content for fulfilling your requests
• The "SF" logo and brand are trademarks of SF International Trade Sdn. Bhd.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

• The Service is provided "as is" without warranties of any kind
• SF is not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid by you for the specific transaction in dispute
• We do not warrant uninterrupted, error-free operation of the Service

11. Termination

• You may delete your account at any time through the App
• We reserve the right to suspend or terminate accounts that violate these Terms
• Termination does not absolve outstanding payment obligations
• Upon termination, your right to use the Service ceases immediately

12. Privacy

Your use of the Service is also governed by our Privacy Policy .

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through the Service. Continued use after changes constitutes acceptance.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Malaysia. Any disputes shall be resolved in the courts of Kuala Lumpur, Malaysia.
